These Terms & Conditions ("Terms") govern your listing and provision of services as an Educator, Therapist, Coach, or Assessor ("Professional," "you") on the Speshul platform, operated by Chhavi Goyal, sole proprietor, trading as Speshul ("Speshul," "we," "us"). By creating a Professional account, you agree to these Terms.
1. What Speshul Is
Speshul is an online marketplace and booking platform that connects independent Professionals with parents and guardians seeking special-education services. Speshul provides discovery, booking, payment processing, and related tools. Speshul is not your employer.
2. Independent Contractor Status
You provide services on the platform as an independent, self-employed professional, not as an employee, worker, partner, or agent of Speshul. You are not entitled to any employment benefits from Speshul. You may offer your services outside the platform and are not exclusive to Speshul, except as separately agreed in writing.
Speshul does not direct, supervise, or evaluate the manner, method, or style in which you deliver your services, and does not mediate compatibility between you and a specific family beyond the information shown on your profile. You exercise full professional judgment and discretion in how you practice.
3. Eligibility and Verification
To be listed, you must provide accurate, current credentials and supporting documents. Speshul may verify these directly or through third parties before granting a "Verified" badge. Submitting false, expired, or misleading credentials is a material breach of these Terms and may result in immediate suspension, removal from the platform, and, where applicable, referral to law enforcement or the relevant professional body.
A "Verified" badge reflects a document’s check at a point in time. It is your responsibility to notify Speshul if any credential is suspended, revoked, or expires.
Misrepresentation. If Speshul finds, or reasonably suspects, that you have provided false, expired or misleading credentials or information, Speshul may, without prior notice: remove your Verified badge and listing; suspend or close your account; cancel your upcoming bookings and refund the families concerned; withhold payouts for sessions under review until the review is complete, and recover payouts for sessions obtained through the misrepresentation; inform families who booked you, to the extent needed to protect their children and their bookings; and report the matter to the relevant professional body (such as the Rehabilitation Council of India) or the authorities. Speshul relies on the documents you provide and is not responsible for any misrepresentation by you. Speshul reserves the right to take civil and criminal action against you and to claim damages.
4. Your Profile and Listing
You are responsible for the accuracy of your profile, including your fees, availability, qualifications, and areas of expertise. By listing on Speshul, you grant Speshul a non-exclusive, royalty-free license to display your profile content on the platform and in Speshul's marketing, until you remove your listing.
5. Commission and Payment
Speshul charges a platform commission on each completed, paid session booked through the platform. Payouts are made to your registered bank account or payment method every after a sessions is marked as successfully closed at your end, via the payment gateway. You are solely responsible for your own income tax, GST registration and invoicing (where applicable), and other statutory obligations arising from amounts you earn through the platform.
Payment hold and release. Fees paid by parents are collected and held by Speshul's payment partner and released to you only after you close the session in the app, confirming that it took place. If the family raises a concern within 24 hours of the scheduled session time, the payment stays on hold while Speshul reviews it, and Speshul may then release it to you, refund it to the family, or divide it, based on that review.
Deductions and tax. Speshul will deduct from your payouts its commission (plus applicable GST), any tax Speshul is required by law to deduct or collect (such as TDS under the Income-tax Act or TCS under GST law, where applicable), and any refunds, chargebacks or other amounts you owe Speshul under these Terms. You must provide a valid PAN to receive payouts. Speshul does not store full card details, UPI PINs or net-banking credentials; payments and payouts are also subject to the terms of our payment partner.
6. Session Cancellations
If you cancel a confirmed session, or fail to show up, the family receives a full refund and you are not paid for that session. Speshul may temporarily or permanently suspend Professionals with a pattern of late cancellations or no-shows.
7. Child Safety — Code of Conduct
Because Speshul connects you with minors, you agree to:
Comply with all applicable child-safety and safeguarding laws in the jurisdiction where you provide services;
Never be alone with a child outside the scope and setting of a booked, disclosed session;
Never photograph, film or record a child, or take or share any image or recording of a child, without the prior written consent of the child's parent or guardian, and never use any such material outside the booked service;
Never contact a child directly, including by phone, messaging apps or social media, and never connect with or follow a child on social media; communicate only with the child's parent or guardian, and only for the booked service;
Hold in-person sessions only while a parent, guardian or adult authorised by them is on the premises, and online sessions only while a parent or guardian is at home and reachable for minor children.
Immediately report to Speshul, at support@speshul.in any safety concern, allegation, or incident involving a child on the platform; and
Understand that Speshul may suspend your account immediately, before completing an investigation, upon receiving a credible safety complaint, to protect children using the platform.
This is a zero-tolerance policy: confirmed misconduct results in permanent removal from the platform and will be reported to the appropriate authorities. Where Speshul learns of a sexual offence against a child, or a risk of one, Speshul will report it to the police as the Protection of Children from Sexual Offences Act, 2012 (POCSO) requires, and you must do the same. Speshul may share information about you with the police and other authorities for this purpose.
8. Confidentiality of Child and Family Data
Through the platform, you may receive personal data about a child and family, potentially including assessment reports or session records. The parent decides, for each booking, which details you can see, and may stop your access at any time; otherwise your access ends when you close the session. You agree to use this data solely to deliver the booked service, to keep it confidential, to store it securely, and not to copy, download, retain or reuse it once that purpose is over, consistent with India's Digital Personal Data Protection Act, 2023 and Speshul's Privacy Policy. Notes you write about a session may be kept in your own professional records where your professional obligations require. You must not contact a parent or child outside the platform using information obtained through it, except as needed to deliver a booked service.
9. Reviews
Parents may leave public reviews of your services. You agree not to retaliate against, pressure, or attempt to have removed any review that reflects a parent's genuine experience. You may report reviews you believe are fraudulent or abusive to Speshul for review.
10. Your Intellectual Property
You retain ownership of your own original teaching, therapy, coaching, or assessment materials. You grant Speshul only a limited license to display materials you choose to upload to your public profile.
Content you upload. Everything you upload or display on Speshul, including your photo, certificates, documents, profile text and materials, must be genuine and accurate and must be your own original content or content you have written permission to use. You must not upload material that infringes anyone's copyright, trademark or other rights, or use another person's or organisation's name, logo or materials without authorisation. Speshul may remove any content that breaches this Section without notice, and you will indemnify Speshul against any claim, loss, penalty or legal cost arising from it.
11. No Circumvention of the Platform
You agree not to directly or indirectly solicit, engage, or accept payment from a parent or family you were introduced to through Speshul, for the same or similar services, outside the platform, for a period of 12 months from your last session with that family booked through Speshul.
Sessions arranged outside Speshul. A session you arrange directly with a family outside the platform is not a Speshul booking. Speshul has no role in it and no responsibility for it: payment hold, payouts, cancellation terms, dispute handling and safety follow-up under these Terms do not apply. Sharing your personal contact details with a family to move bookings off the platform, or accepting payment outside the platform from a family introduced through Speshul, breaches this Section, and Speshul may suspend or close your account.
12. Insurance and Liability
Speshul strongly recommends that you carry professional indemnity or liability insurance appropriate to your practice. You are solely responsible for the professional advice, treatment, or services you provide. Speshul is not a medical, clinical or diagnostic service. If you are an Assessor, your assessments, reports and recommendations are your own professional opinion, given in your independent capacity; you must not present them as Speshul's. You must advise a family to seek urgent medical help where a child appears to need it.
13. Indemnification
You agree to indemnify Speshul against claims, losses, or damages arising from your services, negligence, misconduct, breach of these Terms, or any content you upload.
14. Limitation of Liability
To the maximum extent permitted by law, Speshul's total liability to you is limited to the commission-inclusive fees paid to you through the platform in the 3 months preceding the claim.
15. Suspension and Termination
Speshul may suspend or remove your listing for breach of these Terms, credible safety concerns, or extended inactivity, with notice where practicable. You may close your account at any time; completed bookings must still be honored or properly cancelled and refunded. When your account is closed, Speshul will delete your profile, listing and personal data as described in its Privacy Policy, except records Speshul must keep by law (such as payment and tax records), your verification documents for 1 year after you leave, and records of safety complaints, investigations and removals, which Speshul keeps for as long as needed to protect children and to prevent re-registration.
16. Grievance Redressal
If you have a complaint, contact our Grievance Officer: Chhavi Goyal, chhavi@speshul.in. We will acknowledge your complaint within 5 business days and aim to resolve it within 30 days.
17. Changes to These Terms
We may update these Terms from time to time. Continued use of the platform after an update constitutes acceptance of the revised Terms.
18. Governing Law
These Terms are governed by the laws of India, and courts at Bengaluru, Karnataka shall have exclusive jurisdiction.
